Christopher has represented many clients in merger and acquisition litigation. He has represented both buyers and sellers in such situations. Often these matters involve allegations and claims relating to breach of contract (purchase agreement) and fraud/failure to make complete, accurate disclosures regarding the business, its operations, and its assets. These include the buyer’s failure to pay the full purchase price, the seller’s failure to deliver what was promised, misrepresentations/concealment (including during the due diligence process), breaches of representations & warranties, and calculation of purchase price/earn-outs.
